4. Account Registration and Security

You may use certain features of our website without registering an account; however, some features, including order history tracking and saved preferences, require account registration. When you register an account, you agree to provide truthful, accurate, and complete information and to keep such information updated.

You are solely responsible for maintaining the confidentiality of your username and password and for all activities conducted under your account. Wing Snob reserves the right to accept or decline any order at its discretion. An order is considered confirmed only when you receive an order confirmation from us via email or on-screen notification.

We make every effort to accurately display menu items, descriptions, and pricing on our website; however, errors may occasionally occur. In the event of a pricing error or inaccuracy, Wing Snob reserves the right to cancel the affected order and notify you accordingly. You will be offered the option to re-order at the correct price or receive a full refund for the canceled order.

5.2 Pricing

All prices listed on our website are in United States Dollars (USD) and are subject to applicable federal, state, and local sales taxes, which will be calculated and displayed at checkout based on your delivery or pickup location. Delivery fees, service charges, or other applicable fees will also be disclosed prior to order confirmation.

Wing Snob reserves the right to change prices at any time without prior notice. Price changes will not affect orders that have already been confirmed.

5.3 Payment

Payment for orders placed through our website must be made at the time of ordering using one of the accepted payment methods displayed at checkout, which may include major credit and debit cards (Visa, MasterCard, American Express, Discover), digital wallets, or other electronic payment methods as made available.

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has commenced. We will review your claim and, at our discretion, may offer a replacement, store credit, or partial/full refund as appropriate.

Order cancellations may be accepted if requested before preparation has begun. Once preparation has commenced, cancellation may not be possible and no refund will be issued except at our sole discretion.

6. Delivery Terms

Wing Snob offers delivery services within designated service areas. Delivery availability, estimated delivery times, and minimum order requirements are subject to change and may vary based on your location, time of day, demand, and other operational factors. Estimated delivery times provided at checkout are estimates only and are not guaranteed.

Wing Snob shall not be held liable for delays caused by circumstances beyond our reasonable control, including traffic conditions, weather, third-party delivery provider issues, or other force majeure events. Risk of loss and title for food items pass to you upon delivery to the address provided in your order.

If delivery is attempted and no one is available to receive the order, our delivery personnel may attempt to contact you. If delivery cannot be completed, we reserve the right to charge you for the order in full.

7. Intellectual Property Rights

All content available on or through the wingsnob-delivery.rest website, including but not limited to text, graphics, logos, icons, photographs, images, audio clips, video content, data compilations, software, and the overall design and arrangement of the website ("Content"), is the exclusive property of Wing Snob or its licensors and is protected by applicable United States and international intellectual property laws, including the United States Copyright Act (17 U.S.C. § 101 et seq.), trademark law, trade dress law, and other applicable statutes and common law protections.

The Wing Snob name, logo, slogan, and all related brand identifiers are trademarks or service marks of Wing Snob. You may not use, reproduce, duplicate, copy, sell, resell, or exploit any Wing Snob trademark or trade dress without our prior written consent.

Subject to your compliance with these Terms, Wing Snob grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the website and its Content solely for your personal, non-commercial use in connection with placing orders and using our Services. This license does not include the right to:

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, INCLUDING THE LAWS OF THE UNITED STATES, WING SNOB AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES;

• ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICES BY THIRD PARTIES;
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF CONTENT POSTED, EMAILED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES.

IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, WING SNOB'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Wing Snob and its respective owners, officers, directors, employees, agents, contractors, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:

• Your use of or access to the Services;
• Your violation of any provision of these Terms;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or rights under contract;

You shall not settle any claim without Wing Snob's prior written consent.

12. Governing Law and Jurisdiction

To the extent any dispute is not resolved through the dispute resolution process described in Section 13 below, you and Wing Snob each irrevocably consent to the exclusive personal jurisdiction and venue of the federal and state courts located within the applicable jurisdiction of Wing Snob's principal place of business for the resolution of such disputes. You waive any objection to the laying of venue in such courts and any claim that any such action has been brought in an inconvenient forum.

These Terms are also subject to applicable federal laws and regulations of the United States, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts and practices, applicable food safety and labeling laws enforced by the U.S. Food and Drug Administration (FDA), and other applicable federal consumer protection statutes.

For customers located in the State of California, additional rights and protections may apply under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and other California consumer protection statutes. 13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Wing Snob in writing at [email protected] and provide a detailed description of the dispute, the relief sought, and your contact information. Wing Snob will attempt to resolve the dispute informally within thirty (30) days of receipt of your notice. If the parties are unable to resolve the dispute informally within this period, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

EXCEPT FOR DISPUTES INVOLVING CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT OR REQUESTS FOR EMERGENCY INJUNCTIVE OR EQUITABLE RELIEF, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN IN COURT, IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN EFFECT AT THE TIME THE ARBITRATION IS INITIATED.

The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall have authority to award any relief available in a court of law, except that the arbitrator shall have no authority to award punitive damages except as expressly authorized by statute.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both you and Wing Snob agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. Such emergency relief may be sought without waiving the right to arbitration for other disputes.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use or access the Services. Wing Snob may, in its sole discretion, with or without cause, with or without prior notice, immediately terminate your access to the Services or any portion thereof, including by deactivating your account, if Wing Snob determines that you have violated these Terms, engaged in fraudulent activity, or acted in a manner that is harmful to Wing Snob, other users, or third parties.

You may terminate your account at any time by contacting us at [email protected] or by following the account deletion procedures available on our website. Termination of your account does not relieve you of any obligations or liabilities incurred prior to termination, including any outstanding payment obligations.

Upon termination of these Terms for any reason:

• Your license to use the Services and Content shall immediately terminate;
• You must cease all use of the Services and delete any downloaded or cached Content;
• Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), 13 (Dispute Resolution), and 14 (Term and Termination).

No waiver by Wing Snob of any breach or default by you under these Terms shall be deemed a waiver of any subsequent breach or default, and shall not affect any other rights or remedies available to Wing Snob. A waiver shall be effective only if made in writing and signed by an authorized representative of Wing Snob.

You may not assign or transfer any of your rights or obligations under these Terms without Wing Snob's prior written consent. Wing Snob may freely assign or transfer its rights and obligations under these Terms without restriction or notice to you.

18. Force Majeure

Wing Snob shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, fire, floods, earthquakes, hurricanes, government actions or restrictions, supply chain disruptions, labor disputes, power outages, internet or telecommunications failures, civil unrest, terrorism, or war. In such circumstances, Wing Snob's obligations under these Terms shall be suspended for the duration of the force majeure event, and Wing Snob will make reasonable efforts to resume normal operations as promptly as possible.

19. Electronic Communications and Consent

By using our Services or providing your email address, you consent to receive electronic communications from Wing Snob, including order confirmations, receipts, service announcements, and other operational or promotional messages.
